1. Ownership & License
Ownership & Rights. The musical composition and underlying instrumental (the “Beat”) is licensed on a non-exclusive basis. Ownership of the Beat shall be split fifty percent (50%) to Producer and fifty percent (50%) to Artist.
Neither party shall grant an exclusive license or transfer their ownership interest in the Beat without the prior written consent of the other party.
2. Publishing & PRO Registration
Publishing. The parties agree to register the musical composition with their respective Performing Rights Organizations (PROs) reflecting an ownership split of 50% Producer / 50% Artist. Each party shall be entitled to collect one hundred percent (100%) of their respective publisher’s share and writer’s share derived from their ownership interest.
3. Master Recording Ownership
Master Ownership. Ownership of the master recording(s) embodying the Beat and any derivative recordings shall belong to the Artist, unless otherwise agreed in writing. Producer waives any claim to the master recording(s) except for their entitlement to songwriting and publishing income as stated herein.
4. Credits
Credit. Producer shall receive proper credit as “Produced by [Zacc P]” on all commercial releases, digital service providers (DSPs), metadata, liner notes, and promotional materials where production credits are customarily given.
5. Synchronization Licensing & Approvals
Sync Licensing. Any synchronization license of the Beat or any musical composition embodying the Beat shall require the mutual written approval of both Producer and Artist.
Sync fees shall be split 50% Producer / 50% Artist, unless otherwise agreed in writing.
6. Accounting
Accounting & Payment. Each party shall be responsible for collecting their respective share of income directly from the applicable sources (PROs, publishers, licensors), unless a separate written accounting arrangement is agreed upon.
7. Buy-Out Option
Buy-Out. Artist may, at any time, purchase Producer’s fifty percent (50%) ownership interest in the Beat for a mutually agreed lump-sum fee, to be confirmed in writing. Upon receipt of payment, Producer shall assign their ownership interest to Artist, excluding any accrued royalties owed prior to the effective date of the buy-out.
8. Governing Law
Governing Law. This Agreement shall be governed and construed in accordance with the laws of the jurisdiction mutually agreed upon by the parties.
