Exclusive Production

1. Exclusive Purchase & Assignment

Exclusive Ownership. Producer hereby irrevocably sells, assigns, and transfers to Buyer one hundred percent (100%) of all rights, title, and interest in and to the musical composition and underlying instrumental (the “Beat”), including all copyrights, publishing, and neighboring rights, throughout the world, in perpetuity.

2. Termination of Prior Licenses

Prior Licenses. Producer represents and warrants that either (a) no prior licenses of the Beat exist, or (b) any previously granted non-exclusive licenses shall expire or have been terminated prior to Buyer’s commercial release. Producer shall ensure no conflicting rights remain.

3. Publishing & PRO Registration

Publishing Assignment. Producer assigns 100% of all publishing and songwriter’s share in the Beat to Buyer. Buyer shall have the sole right to register the Beat with any Performing Rights Organization (PRO) and publishing administrator worldwide.

4. Master Recording Ownership

Master Rights. Buyer shall own 100% of the master recording(s) embodying the Beat, including any derivatives, remixes, adaptations, and future recordings, free and clear of any claims by Producer.

5. Credit

Credit. Producer shall receive credit as “Produced by [Zacc P]” where production credits are customarily given, provided that failure to accord such credit shall not constitute a breach of this Agreement nor affect Buyer’s ownership.

6. Compensation

Purchase Price. In consideration of the exclusive assignment of rights, Buyer shall pay Producer a one-time, non-refundable fee of € / $ 1,500, receipt of which is acknowledged. No further royalties, backend, or participation shall be owed to Producer.

7. Waiver of Royalties & Approvals

Waiver. Producer waives any right to collect future royalties, publishing income, performance income, mechanical royalties, or synchronization fees in connection with the Beat, and waives any right of approval over Buyer’s exploitation of the Beat.

8. Representations & Warranties

Warranties. Producer represents and warrants that:

• Producer is the sole creator and owner of the Beat

• The Beat is original and does not infringe any third-party rights

• Producer has full authority to enter into this Agreement and assign all rights herein

Producer shall indemnify Buyer against any breach of the above warranties.

9. Governing Law

Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the mutually agreed jurisdiction.
